The LEXSTREAM ACADEMY platform offers products and services provided by LEXSTREAM ACADEMY, a brand of Opiniões Diligentes – consultoria estratégica, Lda.

These Terms of Use ("Terms") govern the use of our platform, applications, and other products and services ("Services").

As some of our Services may be software that is downloaded to your computer, phone, tablet, or other device, you agree that we may automatically update this software and that these Terms will apply to such updates.

Please read these Terms carefully, and contact us if you have any questions, requests for information, or complaints. By logging in (or for those who have not yet created an account, by using our Services), you agree to be bound by these Terms, including the policies referenced in these Terms.

Use of LEXSTREAM ACADEMY

Who can use our services

You may only use our Services if you can form a binding contract with LEXSTREAM ACADEMY, and only in accordance with these Terms and all applicable laws. When you create your LEXSTREAM ACADEMY account, and subsequently when you use certain features, you must provide us with accurate and complete information, agreeing to update your information to keep it accurate and complete. Any use or access by anyone under the age of 13 is prohibited, and certain content offerings may have additional requirements and/or restrictions.

 

Our license to you

Subject to these Terms and our policies (including the Usage Policy, Code of Conduct, course-specific eligibility requirements, and other terms), we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to use our Services. You may download content from our Services for personal, non-commercial use only, unless you obtain our written permission to use the content in another manner. You also agree to create, access, and/or use only one user account, unless expressly permitted by LEXSTREAM ACADEMY, and you will not share access to your account or account access information with any third party. Your use of our Services does not grant you ownership or any intellectual property rights in our Services or the content you access.

 

Content Offers

Changes to Content Offers

LEXSTREAM ACADEMY offers courses and content from universities and other instructors and providers, including private individuals ("Content Offers"). Unexpected events may occur in the context of making content available from our content providers. LEXSTREAM ACADEMY reserves the right to cancel, interrupt, reschedule, or modify any Content Offerings, or change the value or weight of any assignment, quiz, or other assessment, either exclusively or in accordance with the Content Provider's instructions. Content Offerings are subject to the Disclaimer and Limitation of Liability sections below.

 

No academic degree or academic credits

LEXSTREAM ACADEMY does not award academic or postgraduate degrees or credits, including ECTS, for completing any courses or training programs on the platform. Unless explicitly stated otherwise by an accredited institution, participation in or completion of Content Offers does not confer any academic degree or credits of an academic nature or any other kind. Even if credit is awarded by one institution, there is no presumption that other institutions will accept that credit. The user agrees not to claim that they have obtained credit for completing a Content Offer unless they have obtained a course certificate or other equivalent documentation of their completion of the Content Offer. LEXSTREAM ACADEMY, instructors, and associated trainers are under no obligation to have Content Offers recognized by any educational institution or accreditation organization.

 

Disclaimer of Student-Trainer Relationship

Nothing in these Terms or otherwise with respect to your participation in any Content Offering by trainers: (a) establishes any relationship between you and any trainer or between you and the institution to which the trainer belongs; (b) enrolls or registers you in any LEXSTREAM ACADEMY partner institution and content provider, or in any Content Offering offered by any content provider institution; or (c) gives you the right to use the resources of any content provider institution, other than participation in the Content Offering.


 

Your content

User content

The Services allow you to share your content, such as homework, quizzes, exams, projects, other assignments you submit, messages you post on forums, and the like ("User Content"), with LEXSTREAM ACADEMY, suppliers/instructors, and/or other users. You retain all intellectual property rights and are responsible for the User Content you create and share. User Content does not include course content or other materials made available or posted on the LEXSTREAM ACADEMY platform by or on behalf of content promoters or trainers/instructors who use the Services or Content Offers. As between LEXSTREAM ACADEMY and content providers, such Content Offerings are governed by the relevant agreements in effect between LEXSTREAM ACADEMY and content providers.

How LEXSTREAM ACADEMY and others may use User Content

To the extent that you provide User Content, you grant LEXSTREAM ACADEMY a worldwide, fully transferable, royalty-free, perpetual, sublicensable, non-exclusive license to copy, distribute, modify, create derivative works based on, publicly perform, publicly display, and otherwise use the User Content. This license includes granting LEXSTREAM ACADEMY the right to authorize content promoters and/or trainers/instructors to use User Content with their registered users of the Services. Nothing in these Terms shall restrict other legal rights that LEXSTREAM ACADEMY may have to User Content, for example under other licenses. We reserve the right to remove or modify User Content for any reason, including User Content that we believe violates these Terms or other policies, including our Acceptable Use Policy and our Code of Conduct.

 

Feedback

We welcome your suggestions, ideas, comments, and other feedback regarding the Services ("Feedback"). By submitting any Feedback, you grant us the right to use the Feedback without restriction or compensation. By accepting your Feedback, LEXSTREAM ACADEMY does not waive any right to use similar or related Feedback previously known to LEXSTREAM ACADEMY, developed by us or our representatives, or obtained from other sources.

 

Security

We care about the security of our users. While we work to protect the security of your account and related information, LEXSTREAM ACADEMY cannot guarantee that unauthorized third parties will not be able to defeat our security measures. Third-party content

Through our Services, you will be able to access and/or use content provided by trainers/instructors, other users, and/or other third parties, as well as links to sites and services maintained by third parties. LEXSTREAM ACADEMY cannot guarantee that such third-party content, on the Services or elsewhere, will be free of material that you may find objectionable or inappropriate or from malware or other items that may harm your computer, mobile device, or any files contained therein. LEXSTREAM ACADEMY disclaims any responsibility or liability related to your access or use, or inability to access or use, such third-party content.

 

Copyright and Trademark

LEXSTREAM ACADEMY respects the intellectual property rights of our users, content providers, trainers/instructors, and other third parties and expects our users to do the same when using the Services. We have adopted and implemented the LEXSTREAM ACADEMY Copyright and Trademark Policy below in accordance with applicable law.

Education - Research

LEXSTREAM ACADEMY is committed to advancing the science of learning and teaching, and records of your participation in courses may be used for educational research. In the interest of this research, you may be exposed to variations in Content Offerings. Research results will typically be reported on an aggregate basis. Your personal identity will not be publicly disclosed in any research results without your express consent.

LEXSTREAM ACADEMY paid services

LEXSTREAM ACADEMY offers paid Services (e.g., course certificates for certain courses) upon payment of a price. Unless otherwise indicated, all prices are quoted in euros. You are responsible for paying all prices charged by or for LEXSTREAM ACADEMY and applicable taxes in a timely manner using a payment mechanism associated with the applicable paid Services. If your payment method fails or your account is overdue, we may charge fees using other collection mechanisms. Prices may vary based on your location and other factors, and LEXSTREAM ACADEMY reserves the right to change any prices at any time, at its sole discretion. Any changes, updates, or modifications will take effect immediately upon posting through the relevant Services. Refunds may be available for paid Services as described in our Refund Policy below.

 

Modification or Termination of Our Services

We are constantly changing and improving our services. We may add or remove functions, features, or requirements, and we may suspend (to the extent permitted by applicable law) or discontinue part of our Services as a whole. Accordingly, LEXSTREAM ACADEMY may terminate your use of any Service for any reason. If your use of a paid Service is terminated, you may be eligible for a refund under our Refund Policy. We may not be able to provide the Services to certain regions or countries for various reasons, including applicable export control requirements or government limitations and restrictions on Internet access. LEXSTREAM ACADEMY, its promoters and Content trainers/instructors, sponsors, business partners, staff, or agents (the "LEXSTREAM ACADEMY Parties") shall have no liability to you for any such action.

You may stop using our Services at any time, although we will be sorry to see you go.

 

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT INCLUDED ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

THE LEXSTREAM ACADEMY PARTIES SPECIFICALLY DISCLAIM ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY. THE LEXSTREAM ACADEMY PARTIES FURTHER DISCLAIM ANY AND ALL LIABILITY RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES OR ANY RELATED CONTENT. YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS OR USE OF THE SERVICES OR SUCH CONTENT IS AT YOUR OWN RISK.

 

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LEXSTREAM ACADEMY PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, DIRECT OR INDIRECT, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(A) YOUR ACCESS, USE OR INABILITY TO ACCESS OR USE THE SERVICES;

(B) THE CONDUCT OR CONTENT OF ANY PARTY OTHER THAN THE APPLICABLE LEXSTREAM ACADEMY PARTY, INCLUDING, WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT; OR

(C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT OR INFORMATION.

IN NO EVENT SHALL LEXSTREAM ACADEMY'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED TWENTY EUROS (EU) OR THE TOTAL AMOUNT OF THE PRICE RECEIVED BY LEXSTREAM ACADEMY FROM THE USER FOR THE USE OF PAID SERVICES DURING THE LAST SIX MONTHS.

THE CUSTOMER ACKNOWLEDGES AND AGREES THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS OF USE REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN THE CUSTOMER AND THE LEXSTREAM ACADEMY PARTIES, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS FOR LEXSTREAM ACADEMY'S ABILITY TO MAKE THE SERVICES AVAILABLE TO YOU ON AN ECONOMICALLY VIABLE BASIS. YOU AGREE THAT ANY CAUSE OF ACTION RELATED TO THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES. OTHERWISE, YOU WAIVE THE RIGHT TO BRING A LAWSUIT.

Indemnification

The customer agrees to indemnify, defend, and hold harmless the LEXSTREAM ACADEMY Parties from and against any and all claims, liabilities, expenses, and damages (to the extent attributable to them under applicable law), including reasonable attorneys' fees and costs, made by any third party related to: (a) your use or attempted use of the Services in violation of these Terms; (b) violation of any law or third-party rights; or (c) User Content, including, without limitation, any claim of infringement or misappropriation of intellectual property or other proprietary rights in such content.

 

Applicable law and jurisdiction

Except as set forth below, the Services are managed by OPINIÕES DILIGENTES – CONSULTORIA ESTRATÉGICA – LDA. which is located in Lisbon, Portugal. The customer agrees that these Terms shall be governed by Portuguese law, excluding its conflict of law provisions. In the event of any dispute relating to these Terms that is not subject to binding arbitration, the customer and LEXSTREAM ACADEMY shall submit to the personal jurisdiction and exclusive venue of the district court of Lisbon.

 

General Terms

Revisions to the Terms

We reserve the right to revise the Terms at our sole discretion at any time. Any revisions to the Terms will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes, through a banner on the website, email notification, other method, or combination of methods. In all cases, your continued use of the Services after such changes are posted, with or without notice, constitutes binding acceptance of the revised Terms.

 

Partial Enforcement; Waiver

If any provision of these Terms is found to be unenforceable, it will not affect any other terms, which are considered to be enforceable for all purposes. If you do not comply with these Terms, and we do not take immediate action, this does not indicate that we waive any rights we may have (such as taking action in the future).

Content providers. Our content providers and integrated service providers are third-party beneficiaries of the Terms and may enforce the provisions of the Terms that relate to them.

 

Usage policy

Our mission is to provide universal access to the best education. We strongly believe in preserving freedom of expression for our users, as well as academic freedom for our content providers and trainers/instructors. We also want to ensure that all of our users and trainers/instructors feel safe and comfortable while using our Services. We have developed this policy to ensure that people understand and follow the rules when participating in our online community and when using our Services.

We may remove or edit inappropriate content or activities identified by us or reported to us. We may suspend, disable, or separately terminate a user's access to all or part of the Services.

You are prohibited from using our Services to share content that:

•           Contains illegal content or promotes illegal activities with the intent to commit such activities. Keep in mind that users as young as 13 years old use LEXSTREAM ACADEMY, and we do not allow content that is inappropriate for these younger users.

•           Contains credible threats or organizes acts of violence in the real world. We do not allow content that creates a genuine risk of physical injury or property damage, credibly threatens people or public safety, or organizes or encourages harm.

•           Constitute harassment. We encourage commentary on people and matters of public interest, but abusive or inappropriate content directed at individuals is not permitted.

•           Infringe intellectual property, privacy, or other rights. Do not share content that you do not have the right to share, claim content that you did not create as your own, or otherwise infringe or misappropriate another person's intellectual property or other rights. Always attribute materials used or quoted by you to the original copyright owner.

•           Constitute spam. Do not share irrelevant or inappropriate advertising, promotional, or solicitation content.

Otherwise, you violate the LEXSTREAM ACADEMY Terms of Use.

Please note that specific content offerings may have additional rules and requirements.

You are also not permitted to:

•           Do anything that violates local, national, or international law or that violates any of your contractual obligations or fiduciary duties.

•           Share your password, let anyone other than yourself access your account, or do anything that could put your account at risk.

•           Attempt to access any other user's account.

•           Reproduce, transfer, sell, resell, or misuse any content from our Services, unless specifically authorized to do so.

•           Access, alter, or use non-public areas of our systems, unless specifically authorized to do so.

•           Break or circumvent our authentication or security measures or otherwise test the vulnerability of our systems or networks, unless specifically authorized to do so.

•           Attempt to reverse engineer any part of our Services.

•           Attempt to interfere with any user, host, or network, for example, by sending a virus, overload, spam, or mail bomb.

•           Use our Services to distribute malware.

•           Using our Services or any feature of the LEXSTREAM ACADEMY platform for anything other than completing online courses or for educational purposes.

•           Impersonate or misrepresent your affiliation with any person or entity.

•           Encourage or assist anyone to do any of the things on this list.

 

Copyright and Trademark Policy

LEXSTREAM ACADEMY respects the intellectual property rights of our content providers, instructors, users, and other third parties and expects our users to do the same when using the Services. We reserve the right to suspend, disable, or terminate the accounts of users who repeatedly infringe or are repeatedly accused of infringing the copyrights, trademarks, or other intellectual property rights of third parties. If you believe in good faith that any material on the LEXSTREAM ACADEMY platform infringes your copyright, please send us a notice immediately requesting that the material be removed or access to it be blocked.

The notice must include the following information:

•           the physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

•           identification of the copyrighted work claimed to have been infringed (or, if multiple copyrighted works located on the platform are covered by a single notification, a representative list of such works);

•           identification of the material that is claimed to have been infringed or to be the subject of infringing activity, and information reasonably sufficient to permit LEXSTREAM ACADEMY to locate the material on the platform;

•           the name, address, telephone number, and email address (if available) of the complaining party;

•           a statement that the complaining party has a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and

•           a statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

 

LEXSTREAM ACADEMY also respects the trademark rights of others. Accounts with any other content that misleads others or violates the trademark of others may be updated, suspended, deactivated, or terminated by LEXSTREAM ACADEMY at its sole discretion. If you are concerned that someone may be using your trademark without proper permission on our Services, please email us at info.Lexstream Academy@gmail.com and we will review your submission. If we deem it appropriate, we may remove the offensive content, warn the individual who posted the content, and/or temporarily or permanently suspend or disable the individual's account.

 

Refund Policy

For details on our refund deadlines and policies, please see the information below. Please note that our policies differ between subscription payments and one-time payments made for courses, and that payment options may vary from one offer to another. Please also note that we take violations of our Terms of Use and Code of Conduct very seriously and are under no obligation to offer refunds to users who violate these or other LEXSTREAM ACADEMY policies, even if their requests are made within the designated refund period. Similarly, we are under no obligation to offer late refunds to users who do not receive a minimum grade on a Content Offer subject to evaluation, or who are otherwise dissatisfied with their final grade.

 

For Monthly Subscriptions

LEXSTREAM ACADEMY does not offer refunds for payments made on a monthly subscription plan. To avoid being charged during a free trial promotion, you must cancel your subscription before the end of your free trial. If you complete a course during the free trial period, LEXSTREAM ACADEMY reserves the right to require you to pay for a one-month subscription to receive a course and/or certificate of specialization.

Your subscription will continue to be paid for on a monthly basis unless and until you cancel or the subscription is suspended or discontinued by LEXSTREAM ACADEMY. For individual specialization subscriptions, LEXSTREAM ACADEMY will automatically discontinue your subscription at the end of the monthly period during which you earn a specialization certificate for the specialization, unless you have subscribed through a third-party marketplace that restricts our ability to do so. Please visit the third-party marketplace for information about their policies. You must cancel your subscription before its monthly renewal date to avoid the next billing.

If you cancel your subscription, the cancellation will be effective at the end of the current monthly period; you will continue to have access to your subscription for the remainder of that period, but you will not receive a refund.

 

For Individual Course Purchases

If you cancel your paid enrollment for a standalone course, LEXSTREAM ACADEMY will offer you a full refund up to 14 days after payment, provided you have not attended it.

Right of withdrawal

In addition to the refund policies above, if you have a right of withdrawal under the relevant laws in your country, including any applicable European Union laws, then:

•           You have the right to cancel for a period of 14 days if you have not yet viewed the course or it has not yet started.

•           The customer/user may terminate their contract with LEXSTREAM ACADEMY for the Services, without giving any reason, and without incurring any costs other than those provided for in this clause.

•           The cancellation period expires after 14 days from the day on which your contract was concluded. However, the customer does not have the right to cancel a) if the Services have already been fully performed with their prior express consent or b) if the Services have begun with their prior express consent.

•           To exercise the right of withdrawal, the customer must inform us of their decision to withdraw by means of an unequivocal statement (e.g., a letter sent by post or email contacting us).

If the user/customer withdraws from the contract, we will refund all payments received from the customer. We will make this refund using the same means of payment that the customer used in the initial transaction, unless the customer has expressly agreed otherwise.

If the customer wants the Services to begin during the 14-day withdrawal period, they must make an express request to that effect, in which they acknowledge that they will lose their right of withdrawal once the service has begun. If the customer exercises the right of withdrawal before the Services have been fully provided, they will be liable for reasonable costs, consisting of an amount proportional to what has been provided up to the moment they informed us of the exercise of the right of withdrawal.

    The burden of proof for exercising the right of withdrawal in accordance with this clause shall lie with the customer. Except in the cases provided for in this clause, the customer shall not incur any liability as a result of exercising the right of LEXSTREAM ACADEMY.

 

Code of Conduct

All users participating in Content Offers must agree to abide by the following code:

    I will only register for one account, unless I am expressly authorized to register for additional accounts by LEXSTREAM ACADEMY.

    My answers to homework assignments, quizzes, exams, projects, and other tasks will be my own work (except for tasks that explicitly allow collaboration).

    I will not make courses, quizzes, slides, exams, projects, and other work available to anyone else (except to the extent that a task explicitly allows for the sharing of solutions). This includes both solutions written by me and any solutions provided by course staff or others.

    I will not engage in any other activities that dishonestly improve my results or dishonestly improve or harm the results of others.

 

Any violation of this code may result in the suspension, deactivation, or termination of the participant's access to all or part of the Services.
